13. Unsolicited Idea Submission Policy

Visual Elements or any of its employees do not accept or consider unsolicited ideas, including ideas for new advertising campaigns, marketing strategies, new or improved products, technologies, services, processes, marterials, or new product names. We have found this policy necessary in order to avoid misunderstandings should Visual Elements’s business activities bear coincidental similarities with one or more of the thousands of unsolicited ideas offered to us. Please do not send your unsolicited ideas to Visual Elements or anyone at Visual Elements. If, in spite of our request that you do not send us your ideas, you still send them, then regardless of what your posting, email, letter, or other transmission may say, (1) your idea will automatically become the property of Visual Elements, without any compensation to you; (2) Visual Elements will have no obligation to return your idea to you or respond to you in any way; (3) Visual Elements will have no obligation to keep your idea confidential; and (4) Visual Elements may use your idea for any purpose whatsoever, including giving your idea to others.

However, Visual Elements does welcome feedback regarding many areas of our existing businesses that will help satisfy customer’s needs, and feedback can be provided through the many listed contact areas of the Site. Any feedback that you provide shall be deemed a Submission under the terms in the User Supplied Information section below.

14. User Supplied Information

Visual Elements does not want to receive confidential or proprietary information from you via the Site. You agree that any material, information, or data you transmit to us or post to the Site (each a ?Submission or collectively ?Submissions?) will be considered non confidential and non proprietary. If you register to become a vedstudio.com member, you are responsible for maintaining the confidentiality of you rmember identification and password information, and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your member identification and password.

16. General Provisions

a. Entire Agreement/No Waiver. These terms of Use constitute the entire agreement of the parties with respect to the subject matter hereof. No waiver by Visual Elements of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.

b. Correction of Errors and Inaccuracies. The Content may contain typographical errors or other errors or inaccuracies and may not be complete or current. Visual Elements therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice. Visual Elements does not, however, guarantee that any errors, inaccuracies or omissions will be corrected.

c. Enforcement/Choice of Law/Choice of Forum. If any part of this Agreement is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not impact any other provision of this Agreement, all of which will remain in full force and effect. Any and all disputes relating to this Agreement, Visual Elements? Privacy Policy, your use of the Site, any other Visual Elements web site, the Service, or the Content are governed by, and will be interpreted in accordance with, the laws of the Commonwealth of Virginia, without regard to any conflict of laws provisions.

Your personally identifiable information is kept secure. Only authorized employees, agents and contractors (who have agreed to keep information secure and confidential) have access to this information. All emails and newsletters from this site allow you to opt out of further mailings.

Cancellation Policy

Here at Visual Elements, we understand that there may occassionally be unforseen circumstances surrounding a sale or contract. The policy below outlines what will transpire in the event that you must cancel your order with us.

If work on your order has not yet begun at the time of the cancellation, your deposit (less consultation fees), will be refunded to you within a period of 30-days.

If work on your order has initiated but not been completed past 50%, we reserve the right at our discretion to retain the full deposit. We may at our discretion refund a portion of your deposit within a period of 30-days.

If work on your order has initiated and been completed past 50%, we reserve the right at our discretion to retain the full deposit, plus bill an hourly rate for any and all hours worked past 50%.

In the event that you wish to cancel your order after work has been completed, we reserve the right to retain the full deposit and bill you for all work completed at the rate initially agreed upon.

Sometimes there are special circumstances in which a client cannot pay their bill. If you find yourself in this situation, please contact our billing department. Visual Elements will happily work with you to solve any billing problems that may arise. In the event of default or failure to pay, we may take any and all legal action necessary to collect payment.

Payment Policy

Unless otherwise agreed upon contractually, all invoices must be paid within 30-days of the invoice date. A 50% deposit will be required for work to begin on your order. Payment in full must be received before any content will be published or released.
